Business Model#

What the company does and how it earns its money; written AI-editorially, exclusively from the company's original reports, without any assessment of our own.

Medifast develops, manufactures, and sells nutrition and weight management products, primarily under the OPTAVIA brand, through a network of independent health coaches. Coaches earn commissions on product sales and build their own client bases, making coach count and per-coach productivity the principal drivers of revenue. Revenue is generated almost entirely from product sales to coaches and their clients, with no significant subscription or institutional revenue stream disclosed separately. The company is executing a strategic repositioning toward a broader metabolic health platform, introducing the Trilivy brand ecosystem to extend beyond traditional meal replacement programs. This transformation includes new product lines, a scientific and educational institute, and internal efficiency initiatives, while the independent coach network remains the primary distribution and acquisition channel.

Current Status#

Summary of the most recent reporting period: core figures, drivers and management statements; written editorially from the current original report, every figure backed by a source number.

Medifast reported revenue of $76.4 million in 2026-Q2, a decline of 27.6% from $105.6 million in Q2 2025, as active earning coaches fell to 11,700 from 22,800 in the prior-year period 29. Revenue per active earning coach rose 41.0% to $6,529, reflecting network realignment toward more productive coaches 29. The company recorded a net loss of $3.1 million (-$0.28 per diluted share) compared to net income of $2.5 million in Q2 2025 30. Management launched the Trilivy brand and the Medifast Metabolic Health Institute as the centerpiece of a strategic repositioning toward metabolic health 30.
Management commentary on the 2026-Q2 results (8-K-EX99.1, 2026-08-03):
„In the second quarter, we continued to see signs of a turnaround in our business. Revenue remained sequentially stable, supported by steady growth in coach productivity and positive coach leadership trends. Combined with the energy and engagement demonstrated at our recent National Coach Convention, these leading indicators have historically been precursors of future growth.“ – Nick Johnson, Chief Executive Officer 30
„We're building on that progress by putting new tools in our coaches' hands, with our new brand, Trilivy, our new Reset Fuelings, and our new Medifast Metabolic Health Institute. Each of these is a meaningful step in our 3.0 strategy. Backed by our Metabolic Synchronization science and coach-led model, we believe we are on track to return to profitability in the fourth quarter and have created a foundation that supports our vision for consistent, long-term growth.“ – Nick Johnson, Chief Executive Officer 30

Revenue trend
Guidance
For FY2026, the company guides Loss per share to 0.25 to 1.75 (initiated); Revenue to 270 million to 300 million (initiated). 30.
Profitability
Operating income was -$4.3 million in 2026-Q2, with gross profit margin declining 270 basis points year-over-year to 69.9%, primarily due to fixed-cost deleverage 29. SG&A expenses decreased 25.7% in absolute terms to $57.7 million but rose to 75.6% of revenue from 73.6% in Q2 2025 30. Operating cash flow was $1.7 million, capital expenditures were $1.0 million, and free cash flow was $0.7 million.
Leverage
Cash and equivalents totaled $71.9 million as of June 30, 2026, and combined with total investments of $97.9 million yielded $169.8 million in total liquidity with no debt outstanding 30. The company carries no financial leverage, maintaining a net cash position with no net-debt-to-EBITDA ratio applicable. The Maryland Distribution Center building and land were sold in H1 2026 for proceeds of $3.6 million, contributing to the cash balance 29.
Management view
Medifast's 3.0 strategy repositions the company from traditional weight loss toward broader metabolic health, with new brand and product infrastructure introduced in 2026-Q2 and a scientific advisory structure to support it 30. Management guided Q3 2026 revenue at $60 million to $80 million with a loss per share of $0.15 to $0.65, excluding one-time Catalyst program costs 30. Full-year 2026 revenue is guided at $270 million to $300 million with loss per share of $0.25 to $1.75, and the company expects to return to profitability in Q4 2026 30.
Change
For H1 2026, revenue declined 31.1% to $152.4 million from $221.3 million in H1 2025, and the net loss for the half widened to $5.2 million from net income of $1.7 million in H1 2025 29. The 48.7% year-over-year reduction in active earning coaches was the primary revenue headwind, compressing fixed-cost absorption across the business 29. H1 2026 gross profit margin contracted 370 basis points to 69.0% from 72.7% in H1 2025, driven by the same volume-related deleverage 29.
Risks (current)
Client acquisition remains under sustained pressure, with rapid GLP-1 medication adoption posing a direct competitive threat to the traditional client base 29. The metabolic health and weight loss market is broadly competitive, encompassing digital tools, app-based solutions, and wearable trackers alongside traditional nutrition program providers 29. Supply chain costs, inflation, and potential changes in tariff regulations may continue to affect the cost structure and raw material availability 29.
New this reporting period
Medifast launched the Trilivy comprehensive metabolic health system and the Reset Fuelings product line in 2026-Q2, incorporating MetaVantage Technology to support metabolic health goals 30. The Medifast Metabolic Health Institute, with a dedicated Scientific Advisory Board and an educational mission, was established this quarter as part of the 3.0 strategy 30. The Catalyst program, targeting cost savings through facility rationalization and AI-related efficiencies, was also introduced in 2026-Q2 30.

OPTAVIA revenue decline and pivot to metabolic-health/GLP-1 companion nutrition
Quarterly revenue fell from $115.7m in 2025-Q1 to $75.1m in 2025-Q4 before stabilizing near $76m in 2026-Q1/Q2, while the company repositions around GLP-1 nutrition support and the new Trilivy brand (126, 29, 30)
Core OPTAVIA revenue trajectory
Revenue declined sequentially through FY2025 (115.7 -> 105.6 -> 89.4 -> 75.1) and has held roughly flat at 76.0 then 76.4 in 2026-Q1/Q2, indicating a decelerating but stabilizing top line (126)
GLP-1 companion nutrition and LifeMD collaboration
LifeMD collaboration for telehealth/GLP-1 medication access (from December 2023) plus GLP-1 Nutrition Support Plan and OPTAVIA GLP-1 kits form a recurring strategic response to GLP-1 adoption (28, 19, 16)
Trilivy metabolic-health brand and Reset Fueling line
Trilivy brand, Trilivy metabolic health system and Reset Fuelings launched in 2026-Q2/July 2026 alongside the Medifast Metabolic Health Institute, marking a new product family (30, 29)
Product-line renewal (OPTAVIA ASCEND, ACTIVE, Metabolic Synchronization)
OPTAVIA ASCEND mini-meal line (December 2024), OPTAVIA ACTIVE and the Metabolic Synchronization science platform (2025-Q4) extend the portfolio into next-generation ingredients (17, 25, 26)
Coach/field structure and compensation redesign
New compensation plan with Trilivy Coach Hub (Q3 2026), the EDGE program (2025) and Premier+ auto-ship refresh (July 2025) rework the coach-led distribution model (29, 25, 21)
Profitability and cash
Operating income stayed negative across the last six quarters and net income swung to a -$18.1m loss in 2025-Q4; cash declined from $101.7m (2025-Q2) to $71.9m (2026-Q2) while FCF turned modestly positive at $0.7m (126)

Sector trend: Sector demand for traditional meal-replacement weight management is softening as GLP-1 medications reshape the category, pressuring OPTAVIA volumes and margins; the company is redirecting toward medically-supported and metabolic-health offerings (GLP-1 nutrition support, Trilivy) to align with that shift (126, 29, 19).

Reported KPIs (as disclosed) (318)#

Figures the company discloses itself in addition to the standard financials; order intake, recurring revenue, user or unit counts, adjusted measures. These “story KPIs” usually slip through standard databases; here they are collected as reported, with no calculation of our own. Important: the definition comes from the company itself and can differ from firm to firm; period and source are stated next to every value.

Company-specific KPIs verbatim from the filings (English, as disclosed; not normalised). Balance-sheet and boilerplate items filtered.

Guidance Tracking (latest per metric/period · 16/32)#

All management forecasts (guidance) and their later outcome. Types: fiscal-year targets as well as quarterly/half-year targets; per metric and period the most recent statement applies, older versions can be expanded. The status is checked automatically against the actuals reported later: open (period still running), met, beaten, missed. For ranges (“X to Y”) reaching the range counts. Logged neutrally, no estimate of our own, no assessment.

FY2026

In H1 FY2026, Medifast reported combined revenue of $152.4 million, a 31.1% year-over-year decline from $221.3 million in H1 2025, driven by a contraction in the active earning coach network from approximately 25,400 in Q1 2025 to 11,700 by Q2 2026 29. Quarterly revenue fell 34.3% in Q1 to $76.0 million and 27.6% in Q2 to $76.4 million, with gross margins compressing to 68.1% and 69.9% respectively due to loss of fixed-cost leverage 27 29. The company recorded an H1 net loss of $5.2 million compared to net income of $1.7 million in H1 2025, while maintaining a strong balance sheet with approximately $169.8 million in cash and investment securities and no debt 29 30. Medifast initiated a strategic transformation in response to headwinds including competition from GLP-1 weight loss medications, launching the Metabolic Synchronization science framework in October 2025, the Trilivy brand and Medifast Metabolic Health Institute in July 2026, and the Catalyst cost-savings program focused on facility rationalization and AI-related efficiencies 27 29 30. Full-year 2026 revenue guidance of $270 million to $300 million was issued, with a return to profitability targeted for Q4 2026 30.

FY2025

Medifast's FY2025 revenue fell 36.0% to $385.8 million from $602.5 million in 2024, driven by a 40.6% decline in active earning OPTAVIA coaches to 16,100, reflecting sustained challenges in customer acquisition and broader market adoption of GLP-1 medications (25). Gross profit margin compressed 250 basis points to 71.3% due to loss of leverage on fixed costs, and the company recorded a full-year net loss of $18.7 million compared to net income of $2.1 million in 2024 (25). In response to the GLP-1 competitive environment, the company introduced the GLP-1 Nutrition Support Plan with the OPTAVIA ASCEND product line, established a collaboration with LifeMD to provide coach clients access to GLP-1 medications, and later announced a strategic reorientation under the Metabolic Synchronization framework targeting holistic metabolic health (19, 25). The Amended Credit Agreement with Citibank was terminated in October 2024 with no outstanding borrowings, and the company ended FY2025 with $167.3 million in cash, cash equivalents, and investment securities and no interest-bearing debt (25, 26). In Q4 2025, the company reinstated annual guidance for 2026 after a two-year absence and reported coach productivity turned positive year-over-year for the first time since 2022 (26).

FY2024

Medifast's full-year 2024 revenue declined 43.8% to $602.5 million from $1.1 billion in 2023, primarily driven by a 34.1% decrease in active earning OPTAVIA coaches from 41,100 to 27,100 and lower coach productivity 17. Gross profit margin improved 140 basis points to 73.8%, supported by inventory management efficiencies and savings from the Fuel for the Future program 17. Net income fell 97.9% to $2.1 million from $99.4 million in 2023 as revenue declines exceeded cost efficiencies 17. To address the expanding medically supported weight loss market, the company established a collaboration with LifeMD in December 2023 for GLP-1 medication access, launched a company-led marketing campaign incurring approximately $22.9 million in advertising expenses in 2024, and introduced the GLP-1 Nutrition Support Plan, Optimization Plan, and OPTAVIA ASCEND product line in December 2024 17. The company ended 2024 with $162.3 million in cash and investment securities and no interest-bearing debt 18.

FY2023

Medifast's full-year 2023 revenue fell 32.9% to $1.072 billion from $1.599 billion in 2022, driven by a 32.5% decline in active earning OPTAVIA Coaches (from 60,900 to 41,100) and a 16.1% decrease in average revenue per active earning Coach 9. Despite the volume contraction, full-year gross margin improved 110 basis points to 72.4% as cost savings from the Fuel for the Future program more than offset fixed-cost deleverage 9. Net income decreased to $99.4 million ($9.10 per diluted share) from $143.6 million ($12.73) in 2022, while free cash flow reached $141.2 million and cash plus investment securities grew to $150.0 million from $87.7 million at year-end 2022 9. Strategically, the company exited Asia Pacific operations in Hong Kong and Singapore, launched the OPTAVIA ACTIVE sports nutrition line in September 2023, and in December 2023 announced a collaboration with LifeMD to enter the medically supported weight loss market, including access to GLP-1 medications 9. The quarterly cash dividend was discontinued effective December 7, 2023 to redirect capital toward technology investments and future growth initiatives 9.
