Business Model#

What the company does and how it earns its money; written AI-editorially, exclusively from the company's original reports, without any assessment of our own. Methodology

Verbio SE is a German renewable energy company specialising in the production of biofuels and biogas. Its core products are biodiesel, bioethanol, and biomethane, produced from agricultural feedstocks at facilities in Germany (including Zörbig, Schwedt, and Pinnow) and North America (Nevada, Iowa). Revenue is generated through fuel sales and greenhouse gas (THG) quota certificates under European and German regulatory frameworks. Verbio is expanding into adjacent bioeconomy segments, including biogas liquefaction (BioLNG and BioCNG), proprietary metathesis catalyst technology through its XiMo subsidiary, and bio-based chemicals via a large-scale ethenolysis facility under commissioning in Bitterfeld. A Geneva-based trading subsidiary handles global biomass molecule markets. These activities reflect a transition from pure biofuel production toward an integrated bioeconomy platform supplying transport fuel, energy, and specialty chemicals.

Current Status#

Summary of the most recent reporting period: core figures, drivers and management statements; written editorially from the current original report, every figure backed by a source number. Methodology

Assessment by NadirAlpha, as of Q4 FY2026 (Apr to Jun 2026).

Verbio SE reported FY2026 revenue of 1,872.7 EUR million, 18.6% higher than 1,579.8 EUR million in the prior year, as improved plant utilisation lifted both biodiesel and biomethane volumes 21. Full-year EBIT reached 128.2 EUR million, reversing a prior-year loss of EUR 118.2 million, and net income was 63.9 EUR million, a turnaround from a loss of 137.9 EUR million in FY2025, with undiluted earnings per share of EUR 1.00 21. The company proposed a dividend of EUR 0.20 per share for FY2026, resuming distributions after the prior-year suspension 21. Commissioning of the world's first commercial-scale ethenolysis plant in Bitterfeld and the completion of the Zörbig BioLNG facility mark the opening of new production segments in the fiscal year 21.
Management commentary on the FY2026 results (IR-Annual, 2026-09-24):
“These figures impressively demonstrate what Verbio is capable of in a fair competitive environment. And there is more to come.” Claus Sauter, Vorstandsvorsitzender 21 (translation, original on hover)

Guidance
For FY2027, the company guides EBITDA 210 to 250 €m (initiated); Net financial debt 140 €m (cut). 21
Profitability
In Q4 FY2026 (April-June 2026), operating income was 69.9 EUR million and net income was 41.6 EUR million 21. For the full fiscal year, group EBITDA was EUR 193.9 million, sharply higher than EUR 14.2 million in FY2025, and operating cash flow was 164.6 EUR million compared with 25.2 EUR million the prior year 21. Full-year free cash flow was 78.4 EUR million versus -106.6 EUR million in FY2025, with Q4 free cash flow of 47.9 EUR million 21.
Leverage
At fiscal year-end (30 June 2026), net debt stood at 96 EUR million, reduced from 212.7 EUR million at the prior year-end, with cash on hand of 90.3 EUR million 21. Long-term bank loans were brought down from EUR 173.4 million to EUR 120.2 million, and total bank borrowings declined from EUR 238.8 million to EUR 186.3 million over the fiscal year 21. No Net-Debt/EBITDA ratio is stated in the source; the reduction in gross debt combined with positive EBITDA of EUR 193.9 million represents a materially improved leverage trajectory relative to FY2025 21.
Management view
Verbio was admitted to the SDAX in December 2025 and to the TecDAX in June 2026, with Xetra trading volume rising by around 28% in the second half of FY2026 following these index inclusions 21. The Geneva-based trading subsidiary broadened its scope in global biomass molecule markets, and the company continued to build out BioLNG and BioCNG refuelling infrastructure from its own production 21. Biodiesel plant utilisation reached 88.3% in FY2026 from 87.2% in the prior year, and biomethane utilisation improved to 71.2% from 60.1%, reflecting higher demand absorption across the core production base 21.
Change
The North America bioethanol operation in Nevada (Iowa) met technical expectations only partially during FY2026 and is described in the source as stabilised following ramp-up difficulties 21. Group headcount declined to 1,391 at 30 June 2026 from 1,458 at 30 June 2025, comprising 657 salaried and 633 hourly employees 21. Capital expenditure for FY2026 was 86.2 EUR million, lower than 131.8 EUR million in the prior year, reflecting the completion of major construction programmes 21.
Risks (current)
The THG greenhouse-gas quota market continued to be burdened by fraudulent certifications and contested biofuel imports; the RED III framework, which tightens certification requirements and removes double-counting for advanced biofuels, is expected to strengthen market integrity going forward 21. Low Rhine water levels impaired physical fulfilment of quota obligations and raised associated logistics costs for Verbio during the fiscal year 21. In the United States, the regulatory framework governing biofuels -- including the Renewable Fuel Standard, Renewable Volume Obligations, Small Refinery Exemptions, and the Section 45Z Clean Fuel Production Tax Credit -- continued to be refined, directly affecting demand and unit economics at Verbio's North American operations 21.
New this reporting period
The world's first commercial-scale ethenolysis plant, located in Bitterfeld, Germany, reached near-complete construction status in FY2026 with production commissioning targeted for the second half of calendar 2026, representing Verbio's entry into large-scale bio-based chemicals production 21. The XiMo subsidiary's catalyst production facility in Gödöllő, Hungary entered commissioning in summer 2026, advancing Verbio's proprietary metathesis catalyst technology 21. The biomethan liquefaction plant at the Zörbig site was completed during FY2026, enabling supply of BioLNG and BioCNG from Verbio's own production for the first time 21.

Share-Price Drivers#

Factors the company itself names as material for its business development (IR-based); reproduced neutrally, no price forecast and no assessment of our own. Methodology

Earnings turnaround across the biofuel portfolio
Group operating income recovered from EUR -94 million to EUR 69.9 million and net income from EUR -97.4 million to EUR 41.6 million over the most recent quarters, with the latest change flags marking accelerating growth, improving profitability and raised guidance 21.
Biodiesel segment
Largest revenue line at EUR 951.0m in FY2026 and the biggest single contributor to group sales, supporting the earnings recovery 21.
Bioethanol/Biomethan segment
Revenue of EUR 897.4m in FY2026, broadly on par with biodiesel and the second pillar of group sales 21.
Ethenolysis / renewable chemicals vertical
World's first large-scale ethenolysis plant in Bitterfeld is planned for 2026-H2, a new renewable-chemicals line still in the build phase rather than generating revenue 21.
Catalyst and liquefaction capacity ramp
XiMo catalyst production plant in Gödöllő (Hungary) and the biomethane liquefaction plant at Zörbig were both launched in 2026-06, adding new owned capacity 21.
US expansion (South Bend, Nevada)
Conversion of South Bend to a coupled bioethanol/biomethane biorefinery and the Nevada site remain planned, so traction is still prospective 11.
Balance-sheet deleveraging
Net debt eased from EUR 212.7 million to EUR 96 million alongside free cash flow of EUR 47.9 million in the latest quarter 21.

Sector trend: Biofuel demand and realised margins moved higher through FY2026 as group operating income swung back into profit and the change flags point to accelerating growth, with the planned RED III transposition into German law from 2026-01-01 cited as a demand-side driver 21 17.

Development#

A condensed summary per reporting period as running text: what changed operationally, which drivers management names, how earnings and cash flow developed. Methodology

FY2026

Verbio SE recorded group revenue of EUR 1,872.7 Mio in FY2026, up 18.6% from EUR 1,579.8 Mio in the prior year, with growth across both the Biodiesel and Bioethanol/Biomethan segments 21. Group EBITDA rose to EUR 193.9 Mio from EUR 14.2 Mio in FY2025, as THG-quota market conditions improved and the Bioethanol/Biomethan segment swung from a significant loss position 21. The full-year net result reversed from a loss of EUR 137.9 Mio to a profit 21. Operating cash flow reached 164.6 Mio compared with EUR 13.9 Mio a year earlier, and net debt declined to 96 Mio from EUR 164.0 Mio, supported by higher profitability and reduced capital expenditure 21.

FY2025

Verbio SE reported full-year revenue of 1,579.8 million EUR in fiscal year 2024/2025, slightly below the prior-year figure of EUR 1,658 million, despite record production of 1.2 million tonnes of biodiesel and bioethanol and 1,190 GWh of biomethane 17. EBITDA fell sharply to 14.2 million EUR, primarily driven by lower margins for bioethanol and biomethane, partly attributable to market fraud involving manipulated sustainability certificates that pressured THG quota prices 17. The full-year net result was a loss of 137.9 million EUR, substantially impacted by a full impairment of EUR 65.6 million on the straw biomethane facility in Nevada 17. Net debt stood at 212.7 million EUR at fiscal year-end, while the dividend for fiscal year 2024/2025 was suspended to support liquidity 17. For fiscal year 2025/2026, management guided for EBITDA in the high double-digit million EUR range, significantly above the prior year 17.

FY2024

In fiscal year 2023/2024, VERBIO SE reported revenue that declined by about 16 percent year on year, driven primarily by lower selling prices for its core biofuel products 11. EBITDA fell to EUR 121.6 million from EUR 240.3 million in the prior year, with the Bioethanol/Biomethan segment recording an operating loss, weighed down by market distortions from mislabeled Chinese biodiesel imports, lower greenhouse gas quota prices, and startup costs at US operations 11. Net income for the year was 20.1 EUR million, with diluted earnings per share of 0.31 EUR compared to EUR 2.08 per share in the prior year 11. Production of biodiesel and bioethanol reached a new record of 1,158.7 kilotonnes, and the combined bioethanol and biomethane facility in Nevada, USA was commissioned at fiscal year-end, marking the first industrial plant of this kind in North America 11. The group shifted from a net cash to a net debt position during the year while operating cash flow improved significantly, supported by lower inventory requirements 11.

FY2023

VERBIO SE's full-year revenue reached 1,968.3 million euros, above the prior-year figure of EUR 1,812.5 million, as higher sales volumes more than offset lower average selling prices 6. EBITDA declined to EUR 240.3 million from EUR 503.3 million in the prior year, with both the Biodiesel and Bioethanol segments reporting lower results; management attributed the margin deterioration primarily to immense biodiesel imports from China compressing product margins 6. Full-year operating income was 142 million euros, net income 132.2 million euros, and earnings per diluted share 2.08 11. VERBIO significantly expanded its US production footprint through the acquisition of South Bend Ethanol LLC in Indiana and the commissioning of a biorefinery in Nevada, Iowa, while also beginning construction of an ethenolysis plant in Bitterfeld and a catalyst factory in Hungary; capital expenditure reached 202.9 million euros 6. The company achieved record production of 928,122 tonnes of biodiesel and bioethanol and, for the first time, more than 1 TWh of biomethane (1,078 GWh) 6.
